Welcome to X1 Pipeline Inc. ("X1 Pipeline," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the X1 Pipeline application, website, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility and Account Registration

1.1 Eligibility Requirements

1.2 Account Registration and Security

To access certain features of the Service, you must create an account by providing accurate, current, and complete information. You are solely responsible for:

  • Safeguarding your login credentials and account security

  • All activities that occur under your account, whether authorized or unauthorized

You may not create multiple accounts for the same role or purpose without our express written permission.

1.3 Notification of Unauthorized Use

You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any losses resulting from unauthorized use of your account.

2. Permitted Use and Prohibited Conduct

2.1 Permitted Use

X1 Pipeline is designed for professional networking, fundraising activities, investment research, and legitimate business collaboration. You agree to use the Service only for lawful purposes and in strict compliance with these Terms and all applicable laws and regulations.

2.2 Prohibited Activities

You expressly agree not to:

  • Misrepresent your identity, professional role, company affiliation, or credentials

  • Upload, post, share, or distribute any content that is unlawful, defamatory, fraudulent, infringing, harmful, or violates any third-party rights

  • Interfere with, disrupt, or compromise the security or operation of the Service or its servers

  • Attempt to scrape, copy, extract, or harvest data from the Service without our express written permission

  • Use the Service for spam, unsolicited communications, misleading promotions, or any deceptive practices

  • Violate any applicable securities laws or regulations in connection with fundraising or investment activities

  • Engage in any activity that could damage, disable, overburden, or impair the Service

  • Attempt to gain unauthorized access to any portion of the Service or other users' accounts

2.3 Content Accuracy Disclaimer

X1 Pipeline does not verify, endorse, or guarantee the accuracy, completeness, reliability, or truthfulness of any content, information, or communications shared by users or third parties on the platform.

3. User Content and Intellectual Property Rights

3.1 User Content Ownership

You retain ownership of all intellectual property rights in the content you create, post, or upload to the Service ("User Content").

3.2 License Grant to X1 Pipeline

By submitting User Content to the Service, you hereby grant X1 Pipeline a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, display, reproduce, modify, distribute, and create derivative works of such content solely for the purposes of:

  • Operating, maintaining, and improving the Service

  • Providing features and functionality to users

  • Complying with legal obligations

3.3 User Content Responsibility

You are solely responsible for your User Content and represent and warrant that:

  • You own or have obtained all necessary rights to submit the User Content

  • Your User Content does not violate any laws, regulations, or third-party rights

  • Your User Content does not contain confidential information unless you have authorization to share it

4. Payments, Subscriptions, and Billing

4.1 One-Time Payments

Certain premium features, reports, or services may require one-time payments. All one-time payments are:

  • Charged immediately upon purchase

  • Non-refundable except as required by applicable law or as expressly stated in these Terms

  • Subject to the pricing displayed at the time of purchase

4.2 Subscription Services

Premium membership plans provide access to enhanced features and services. Subscription terms, pricing, and available features are detailed during the purchase process and may be updated from time to time.

4.3 Automatic Renewal and Billing

Unless you cancel your subscription, it will automatically renew for successive periods of the same duration as your original subscription term. By subscribing, you authorize us to charge your designated payment method for all applicable fees, including renewal charges.

4.4 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will take effect at the end of your current billing period, and you will retain access to premium features until that time.

4.5 Refund Policy

Except as required by applicable law or as expressly provided in these Terms, all payments are final and non-refundable. We do not provide refunds for partial months of service or unused portions of your subscription.

5. Intellectual Property Protection

5.1 X1 Pipeline's Proprietary Rights

All software, algorithms, designs, trademarks, service marks, logos, content, data, and other materials provided by X1 Pipeline (excluding User Content) are the exclusive property of X1 Pipeline Inc. and are protected by copyright, trademark, trade secret, and other intellectual property laws.

5.2 Limited License to Users

Subject to your compliance with these Terms, X1 Pipeline grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes only.

5.3 Restrictions on Use

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any proprietary content without our express written consent.

6. Disclaimers and Limitations

6.1 No Professional Advice

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND NETWORKING PURPOSES ONLY. X1 PIPELINE DOES NOT PROVIDE FINANCIAL, LEGAL, TAX, INVESTMENT, OR OTHER PROFESSIONAL ADVICE. NOTHING ON THE SERVICE SHOULD BE CONSTRUED AS SUCH ADVICE, AND YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS BEFORE MAKING ANY FINANCIAL OR BUSINESS DECISIONS.

6.2 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

6.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, X1 PIPELINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF X1 PIPELINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO X1 PIPELINE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Indemnification

You agree to defend, indemnify, and hold harmless X1 Pipeline, its affiliates, subsidiaries, officers, directors, employees, agents, and representatives from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service

  • Your User Content

  • Your violation of these Terms

  • Your violation of any applicable laws or third-party rights

8. Account Termination

8.1 Termination by You

You may terminate your account and discontinue use of the Service at any time by following the account closure procedures in your account settings or by contacting customer support.

8.2 Termination by X1 Pipeline

We reserve the right to suspend, disable, or terminate your account and access to the Service at any time, with or without prior notice, if we determine in our sole discretion that you have:

  • Violated these Terms or our policies

  • Engaged in conduct that is harmful to other users, our business, or reputation

  • Failed to pay applicable fees

  • Violated applicable laws or regulations

8.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may, but are not obligated to, delete your account and User Content. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification obligations, and dispute resolution procedures.

9. Privacy Policy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, store, and share your personal information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

10.2 Exclusive Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction of such courts.

10.3 Arbitration

For disputes involving claims under $10,000, we may, at our sole discretion, require binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, and judgment on the arbitral award may be entered in any court having jurisdiction thereof.

10.4 Class Action Waiver

YOU AND X1 PIPELINE AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. When we make material changes, we will:

  • Update the "Effective Date" at the top of these Terms

  • Provide notice through the Service or via email to your registered email address

  • Allow a reasonable period for you to review the changes

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and X1 Pipeline regarding your use of the Service.

12.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

12.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

12.6 Force Majeure

X1 Pipeline shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.
